Статья посвящена трансформации института юридического лица под влиянием цифровизации корпоративных правоотношений. Стремительная интеграция цифровых финансовых активов в экономический оборот при недостаточной проработанности правового регулирования этих процессов в российской правовой системе определяет актуальность исследования. Автор анализиру еткорпоративное законодательство в его связи с гражданским правом, выявляя нормативные пробе лы, порожденные процессов цифровой трансформации правовых устоев. Понятийный аппарат процесса цифровизации бизнеса в условиях цифровой экономики рассматривается подробно: определе нияцифровых финансовых активов, токенов и криптовалюты сопоставляются в российском законода тельстве и международных стандартах. Корпоративный токен сравнивается с классической акцией по своей правовой природе, что говорит о необходимости к разрабатыванию нового подхода закрепле нияцифровых финансовых активов. Зарубежный опыт, включая Типовой закон для децентрализован ныхавтономных организаций (разработанный Международной коалицией автоматизированных юридических приложений), позволяет оценить перспективы внедрения децентрализованных автономных организаций в российскую правовую систему как новой формы юридического лица. Автор формули рует требования, при соблюдении которых децентрализованные автономные системы могут получить статус юридического лица, и определяет элементы устава подобной организации. Научная новизна состоит в обосновании факторов адаптации корпоративного уклада к цифровым изменениям, выявле нииугроз для института юридического лица при внедрении цифровых технологий, определении перспективных тенденций диджитализации корпоративных правоотношений. Сделан вывод о необходи мости дальнейшего совершенствования законодательства: легализация децентрализованных конструкций должна учитывать положительный зарубежный опыт и сохранять баланс диспозитивного регулирования в объективных условиях развития конкурентоспособности цифровых организаций

The article is devoted to the transformation of the institution of a legal entity under the in fluence of digitalization of corporate legal relations. The rapid integration of digital financial assets into economic turnover with insufficient elaboration of the legal regulation of these processes in the Russian legal system determines the relevance of the study. The author analyzes corporate legislation in itsconnection with civil law, identifying regulatory gaps generated by the processes of digital transformation of legal foundations. The conceptual framework of the business digitalization process in the digital economy is considered in detail: definitions of digital financial assets, tokens and cryptocurrencies are compared in Russian legislation and international standards. A corporate token is compared to a classic stock by itslegal nature, which indicates the need to develop a newapproach to securing digital financial assets. Foreign experience, including the Model Law for a decentralized autonomous organization (developed by the International Coalition of Automat edLegal Applications), allows us to assess the prospects for the introduction of decentralized autonomous organizations into the Russian legal system as a newform of legal entity. The author formulates the require ments under which decentralized autonomous organization canobtain the status of a legal entity, and defines the elements of the charter of such an organization. The scientific novelty consists in substantiating the factors of adaptation of the corporate structure to digital changes, identifying threats to the institution of a legal enti tywhen introducing digital technologies, and identifying promising trends in the digitalization of corporate legal relations. The conclusion is made about the need for further improvement of legislation: The legalization of decentralized autonomous organization-constructions should take into account the positive foreign experi ence and maintain a balance of dispositive regulation in the objective conditions of developing the competi tiveness of digital organizations
